Our Practitioners

Bayasgalan is a Senior Associate and Attorney at our firm, a member of the Mongolian Bar Association since 2009, and an accredited advisor on securities market law by the Financial Regulatory Committee since 2017. Her primary areas of practice include international commercial transactions, distributorships, franchise agreements, competition matters, foreign investment, and investment and taxation issues related to corporations, especially those involving special licenses in the mining sectors and land rights. She has also contributed to major mergers and acquisitions (M&A), due diligence processes, and other major corporate transactions. Additionally, she handles a varied portfolio of corporate clients and consistently delivers day-to-day consultancy, offering optimal legal solutions and opinions.

Bayasgalan has acted as a key member of the local counsel team, advising on high-profile securities listings and bond issuance projects in both Mongolian and foreign markets. Her notable works include:

• Dual Listing of Erdene Resources Development on the Mongolian Stock Exchange and Additional listing (June 2018, September 2021);
• US$440 million Senior Notes Restructuring issued by MMC and Energy Resource LLC on the Singapore Stock Exchange (SGX) and Hong Kong Stock Exchange (May 2019);
• US$300 million Exchange Offer and New Money Issuance by MMC and Energy Resource LLC on the SGX (September 2023);
• US$40 million Strategic Alliance of ErdeneResources Development and MMC (January 2024).
